General Counsel

• Draft, review, analyze, structure, and negotiate manufacturing, packaging, development, purchase, supply, license, and service agreements
• Advise and provide training to business unit personnel on compliance policies, customer and vendor relations, contract matters, and regulatory issues
• Assist in merger and acquisition activity
• Help resolve customer disputes and claims, support litigation, and direct outside counsel in dispute and litigation matters
• Provide general advice to senior management and other senior company personnel on a day-to-day basis
• Offer guidance to achieve business objectives in compliance with laws and regulations while avoiding unacceptable risks

Senior Counsel

• Serve as strategic counsel to Leadership and C-Suite on legal and regulatory developments that shape Energy Solutions’ business, translating risk into clear, commercially grounded recommendations
• Partner with the executive team to identify, prioritize, and manage enterprise legal risk, and deliver proactive, business-forward advice that enables decision-making at the speed of the business
• Evaluate contracts prior to execution to identify legal and commercial risk, negotiate favorable terms, and confirm alignment with applicable laws, regulations, and company policies
• Anticipate legal and commercial risks in new business lines and design contract structures and templates that enable growth while protecting the company
• Lead, mentor, and develop the Legal, Contracts, and Compliance team, refining a collaborative, high-performing legal function aligned to the company’s strategic priorities
• Shape the development and implementation of organizational contract requirements, policies and procedures that align with the companies’ mission, values, and strategic direction, while maintaining best practices and protection against legal, regulatory, and liability issues
• Determine and execute litigation and dispute resolution strategy, directing outside counsel as needed and owning case outcomes on behalf of the company
• Select, direct, and manage outside counsel as needed to deliver high-quality results efficiently and on budget

• Leads legal strategy and support for Medicaid State Fair Hearing matters
• Advises internal business partners on federal and state Medicaid hearing requirements
• Coordinates with and oversees outside counsel to ensure appropriate staffing
• Represents the organization in legal duties associated with serving as legal counsel for Medicaid markets
• Develops recommendations and solutions that are thorough, practical and consistent with organizational objectives

Senior Legal Counsel – Medicaid

• Provides underwriting support and authorization related to the issuance of real estate title insurance commitments and policies
• Utilizes underwriting standards and guidelines within delegated authority limits
• Issues underwriting standards and guidelines in accordance with established company processes
• Examine title orders to determine conditions of the title and insurability
• Research title plant software, analyze and evaluate pertinent record documents
• Explain chain of title, exceptions, and requirements to customers and managers
• Recognize title defects and formulate curative solution
• Assess risks and liabilities that may jeopardize the company
• Maintain proper production levels and delivery standards on a daily basis
• Review surveys prepared on properties, if applicable
• Collaborate with the customer and escrow staff to meet time requirements

Underwriting Counsel, Indiana, Kentucky

• Provide impactful legal advice and services on employment law matters, including litigation and strategy.
• Support Humana entities and employees by managing employment-related disputes and advising on labor and employment issues.
• Represent Humana entities in employment-related litigation, including administrative charges and lawsuits.
• Draft employment policies.
• Develop case strategy.
• Resolve employment disputes.
• Organize and manage individual case matters.
• Assist with internal investigations regarding workplace issues as needed.
• Advise HR on the legal and ethical implications of HR processes involving artificial intelligence (AI).
• Collaborate with HR to identify and mitigate potential legal risks in technology and AI-related projects.

Counsel – Labor and Employment

• Works with more experienced attorneys to represent the organization in legal duties
• May research legal principles and precedents, consult with outside counsel, draft and execute legal documents
• Gathers relevant case related information using multiple sources and methods
• Contributes to overall results of an SBU or CEE unit and/or department
• Serves as a strategic partner with assigned internal clients
• Provides legal solutions to a wide range of difficult or new problems
• Develop recommendations and solutions that are thorough, practical and consistent with organizational objectives
• May support the development of other attorneys and paralegals by providing guidance on technical and tactical procedures for lower level attorneys
• Begins to assume management of outside counsel on routine matters

Senior Legal Counsel

• Lead a wide variety of high-impact deals, including acquisitions.
• Independently manage smaller transactions with limited oversight.
• Contribute to larger, complex deals as part of a highly experienced, collaborative team.
• Provide end-to-end counseling to Corporate Development and other internal business leaders throughout the transaction lifecycle.
• Draft and negotiate non-disclosure agreements and letters of intent, and advise on deal structuring considerations.
• Lead legal due diligence processes and coordinate with colleagues in Humana's regulatory, compliance, and other legal practice groups.
• Running deal processes on acquisitions, divestitures, and joint ventures, including drafting and negotiating principal transaction documents.
