Senior Counsel – Privacy, Compliance, Contracts

• Provide central office legal support to draft, review, negotiate and manage new and existing contracts and account relationships, business and vendor relationships across all CBIZ Property & Casualty and Life Insurance practice groups
• Ability to utilize DocuSign, Docuware, Sagitta and Salesforce
• RFP support for all practice areas
• Assist with acquisition issues
• Develop and implement workflow process with a focus on improvements through AI
• Primary legal support to Property & Casualty when CBIZ is the Client (contracts and disputes)
• Maintain contract templates
• Additional responsibilities as assigned

Corporate Counsel – Benefits & Insurance Services

• Assist the Compliance Department in the implementation of the Company’s Compliance program
• Research and advise on federal, state, and local laws, rules, and regulations that impact SVG agencies including but not limited to HIPAA and TCPA
• Provide other legal research as assigned by the General Counsel
• Conduct contract reviews and draft legal documents as assigned by the General Counsel
• Assist in the development and implementation of policies and procedures consistent with established legal principles and requirements
• Escalate compliance and privacy concerns to the General Counsel
• Provide oversight in assessing product, compliance, privacy or operational risks and contribute to risk management strategies
• Assist in the management of litigation as needed
• Contribute to the annual Compliance Work Plan
• Maintain an expert-level knowledge of compliance trends and applicable federal, state, and local laws, rules and regulations to ensure compliance practices are maintained and upheld
• Other job duties as assigned.

Compliance Counsel

• Draft, review, and negotiate a high volume of customer, vendor, and partner agreements (including MSAs, SaaS subscription agreements, DPAs, NDAs, SOWs, and order forms), escalating complex or non-standard issues to the Senior Legal Counsel.
• Support the maintenance and continuous improvement of Tenex's contract templates, playbooks, and standard positions to accelerate deal cycles and ensure consistency.
• Serve as a first point of contact for the Sales, Customer Success, Marketing and Procurement teams on routine contracting questions, redlines, and approval workflows.
• Assist with data protection and privacy compliance work, including assisting with customer security and privacy questionnaires and helping operationalize GDPR, CCPA, and other applicable privacy requirements.
• Help manage Tenex's contract lifecycle, including intake, routing, e-signature, and post-execution recordkeeping.
• Contribute to the development of internal trainings and resources on contracting standards, privacy, and compliance best practices.
• Take on stretch projects and special initiatives as the legal function scales, with the support and mentorship of the Senior Legal Counsel.

Legal Counsel

• Drive process improvements within T-Ads legal support to increase speed, clarity, and consistency
• Advise a growing business unit on complex contractual relationships with media owners, brands, advertising agencies, and ad tech partners
• Negotiate, draft, and revise complex commercial agreements
• Serve as a trusted advisor to internal business clients across cross-functional teams
• Counsel business clients on emerging issues in ad tech and digital media as the business evolves

Senior Corporate Counsel – T-Ads, Ad-Tech and Media Solutions

• Provide legal advice to a growing business unit
• Negotiate, structure, and draft complex commercial agreements
• Provide results-oriented advice to business clients
• Advise on short-term tradeoffs in broader strategic contexts
• Drive departmental initiatives to increase efficiencies

Corporate Counsel – Fiber

• Draft, review, and negotiate a wide range of commercial agreements supporting SS&C Health’s business lines, including contracts with healthcare providers, payers, third party administrators, pharmacy benefit managers, pharmacy networks, and other industry partners
• Lead contract negotiations with clients, vendors, and strategic partners, covering agreements such as services, SaaS, software licensing, non-disclosure, and data privacy (including BAAs), from both provider and customer perspectives
• Support legal and contractual needs throughout the full sales cycle, including Requests for Proposal (RFPs) and Requests for Information (RFIs)
• Provide timely, practical legal guidance to internal stakeholders in a fast-paced, high-visibility environment
• Advise on commercial, public sector, compliance, and corporate matters while identifying opportunities to improve processes and standardize templates
• Build strong cross-functional relationships and collaborate effectively across the organization

Legal Counsel – Healthcare, PBM

• Provide counsel on a variety of US legal topics, primarily labor and employment matters, to Airbus companies across the US
• Serve as a project leader and labor relations advisor on a range of corporate special projects upon request
• Engage with management and HR teams to provide guidance and direction to achieve a positive employee relations environment
• Manage employment law-related activity for US entities in alignment with the Sr. Legal Counsel for Labor and Employment
• Support the investigations and activities of the People Matter Network, including the Employee Relations Managers
• Draft, support the negotiation and legal review of Executive Employment Agreements, Retention Agreements, and Severance Agreements
• Participate in developing and delivering trainings for executives, management and HR stakeholders

• Providing sound legal and business judgment on matters including loans, equity raises, joint ventures, acquisitions, construction, reporting and compliance, tax abatements litigation, etc.

Associate General Counsel, Director – Real Estate

• Review and comment on structured finance documents, escrow agreements, Municipal and Corporate Bond and note documents and other transaction documentation.
• Advise administrators on post-closing extraordinary administrative duties of a legal nature.
• Maintain expertise and advise Compliance Officer and Corporate Trust Relationship Managers regarding risk & compliance matters.
• Advise Corporate Trust department on various legal issues.
• Maintain current on legal and compliance issues that may impact Corporate Trust department.

• Advising internal clients on legal issues related to consumer-facing products, experiences, initiatives, services, offers, and communications
• Supporting a variety of internal client groups, for example: Marketing, Consumer, Business-to-Business, Go-to-Market, Communications, Product, and Digital teams
• Providing legal counseling on a broad range of issues implicating consumer protection laws, advertising and marketing practices, contract interpretation, and regulatory compliance
