• Provide guidance to management on legal and regulatory matters impacting business strategy and policy of the Company

Assistant General Counsel, Vice President – Regulatory Initiatives

• Provide legal advice and support in the development, filing, offering, and administration of life insurance products and services for our Individual Life Insurance division.
• Prepare, review, and negotiate legal contracts, documents, and agreements, including marketing, distribution, administration, TPA, and/or vendor agreements for the review of senior team members.
• Research, counsel, and draft recommendations pertaining to agent appointments and licensing, illustrations, foreign nationals, international business, structured settlements, debt, and estate issues.
• Advise on legal risks and potential impacts of business decisions, as well as escalated claims and consumer complaints.
• Monitor, review and interpret relevant changes in laws, rules and regulations, particularly those related to insurance regulations.
• Support Transamerica’s group life insurance, supplemental life insurance products, and supplemental health insurance products and services for our Group Employee Benefits division.
• Draft regulatory responses, disclosures, and other correspondence that may include market conduct issues from state and federal regulators for the review of senior team members.

Senior Counsel – Insurance Regulatory Counsel, Life Insurance

• Provide legal advice and support in the development, filing, offering, and administration of life insurance products and services for our Employee Benefits division. This includes all term accident, disability, hospital indemnity, executive health, medical gap, retiree medical, Medicare supplement, and employer provide life products.
• Prepare, review, and negotiate legal contracts, documents, and agreements, including marketing, distribution, administration, TPA, and/or vendor agreements for the review of senior team members.
• Research, counsel, and draft recommendations addressing unique regulatory challenges such as state-based claims processing requirements, benefit coordination with group health plans, benefit triggers and eligibility, and the application of ERISA’s preemption clause to state insurance mandates.
• Advise on legal risks and potential impacts of business decisions, as well as escalated claims and consumer complaints.
• Monitor, review and interpret relevant changes in laws, rules and regulations, particularly those related to insurance regulations.
• As needed, support Transamerica’s Life Insurance division.
• Draft regulatory responses, disclosures, and other correspondence that may include market conduct issues from state and federal regulators for the review of senior team members.

Senior Counsel – Employee Benefits

• Provides senior level advice to the relevant business unit(s) on a broad spectrum of legal issues while exercising independent judgment
• Acting as liaison between business management and other practice groups within the Emerson Legal Function as well as outside counsel
• Reviewing, advising on and negotiating various commercial agreements
• Performing or overseeing audits, self-assessments, and investigations
• Works cooperatively with Emerson Law Department colleagues, Emerson business personnel and outside counsel to ensure compliance with Emerson policies and applicable legal and regulatory requirements

• Serve as the primary legal advisor on medical device regulatory requirements, partnering with Regulatory Affairs to support Oura’s FDA submissions and global filings and helping shape the legal and regulatory strategy for regulated product features.
• Partner cross-functionally with Product, Science, Regulatory Affairs, and Engineering teams from the ideation stage to ensure features are built to meet global standards without sacrificing user experience.
• Establish scalable product development governance frameworks that integrate regulatory, privacy, clinical, and product requirements throughout the product lifecycle.
• Provide comprehensive legal support for pre-market requirements, including the review of user-facing terms, disclosures, and consent mechanisms to ensure global alignment.
• Advise on legal and regulatory considerations for AI-enabled and algorithm-driven health features, including issues related to model transparency, validation, performance monitoring, and emerging regulatory frameworks governing machine learning.

• Supporting the draft, review and maintenance of user-facing terms, disclosures, policies, FAQs and internal guidance.
• Counseling on product, privacy, data use, consumer protection, intellectual property, accessibility, online safety and related product issues.
• Partnering with cross-functional teams to identify legal risk early and develop practical, mission-aligned solutions.
