General Counsel

• Serves as a subject matter expert on legal issues arising from day-to-day operations issues and business arrangements, identifies legal risks, and develops proactive compliance
• Provides strategic and tactical advice and counsel on a wide variety of operational, contracting, and transactional matters, working with key leaders to help identify and mitigate legal issues and assist in crafting solutions to protect the company's
• Conducts legal research and analysis to provide recommendations and prepare written opinions and guidance for management teams and other internal

• Acts as a liaison between management and internal or external legal experts on matters beyond AMSURG Corporate Counsel’s core substantive expertise.

Corporate Counsel – Operations

• The Lead Counsel, Privacy will provide Saks with legal guidance on enterprise privacy and data security practices and policies
• In collaboration with Digital, Marketing, Tech, Information Security, and other cross-functional teams, provide day-to-day counsel as well as recommendations on policies/compliance protocols to protect Saks, its customers, its employees, and other third party partners
• Provide strategic advice to address privacy and security risks while supporting customer focus and business growth
• Actively monitor and advise on global privacy requirements and compliance with emerging privacy and data security laws
• Review/draft a variety of agreements related to data and privacy and security, including vendor and customer agreements
• Draft and negotiate relevant data processing or other 3rd party data transfer or protection agreements
• Assist with periodic evaluation and updating of business unit privacy policies
• Assist with development of and conduct global privacy training programs that are tailored for audience and geography
• Manage incident response plans and processes in partnership with the tech security team
• Drive implementation of regulatory and compliance initiatives such as developing project plans to manage product-related changes or respond to changes in applicable laws
• Support various business functions in identifying data flows and documenting data flow maps as part of global privacy compliance program
• Serve as primary manager of all consumer request workflows for different consumer rights

Lead Privacy Counsel

• Provides legal advice and counsel to development, strategy, finance, and operations teams
• Supports transactions including drafting agreements, leading negotiations, and due diligence
• Advises structure for transactions and assist in crafting solutions to protect interests
• Conducts legal research and analysis for recommendations and prepares written opinions
• Supports corporate governance processes and entity management compliance
• Provides legal support on commercial finance and tax matters
• Acts as a liaison between management and internal/external legal experts

Corporate Counsel – M&A, Corporate Affairs

• Lead a wide variety of high-impact deals, including acquisitions.
• Independently manage smaller transactions with limited oversight.
• Contribute to larger, complex deals as part of a highly experienced, collaborative team.
• Provide end-to-end counseling to Corporate Development and other internal business leaders throughout the transaction lifecycle.
• Draft and negotiate non-disclosure agreements and letters of intent, and advise on deal structuring considerations.
• Lead legal due diligence processes and coordinate with colleagues in Humana's regulatory, compliance, and other legal practice groups.
• Running deal processes on acquisitions, divestitures, and joint ventures, including drafting and negotiating principal transaction documents.

Counsel, General Corporate and M&A

• Provide legal advice to Vanderbilt University Athletics Department.
• Review, draft, and negotiate agreements related to competitions, sponsorships, and employment.
• Advise on university policy, NCAA, and SEC rules.
• Counsel on student-athlete related issues, including NIL activities.
• Manage an active litigation docket and supervise outside counsel.

Associate General Counsel – Athletics

• Independently leading and managing a portfolio of complex litigation and pre-litigation matters across assigned lines of business
• Partnering with business, Risk, and Compliance stakeholders to assess exposure
• Guiding decision-making, and mitigating legal and reputational risk
• Exercising sound judgment in balancing legal risk with business objectives while operating within the Bank’s risk appetite
• Leading litigation strategy across assigned matters, including pleadings, discovery, dispositive motions, trial/arbitration, and settlement
• Independently evaluating claims and exposure, and making recommendations regarding case strategy and resolution
• Managing pre-litigation disputes, demand letters, regulatory inquiries, and threatened claims

Senior Counsel – Litigation

• Collaborates with colleagues within the Conflicts, Client Engagement, and Risk Management departments to identify and resolve conflicts of interest issues.
• Directs and conducts specific processes in the Conflicts department, including efficient review, identification and resolution of conflicts of interest.
• Drafts conflicts waivers, reviews lateral candidates, and provides recommendations regarding ethical wall implementation.
• Maintains thorough and accurate records of conflicts resolutions.
• Assures compliance with applicable Rules of Professional Conduct related to conflicts of interest and client engagement agreements.

Conflicts Counsel

• Analyze title insurance risks, underwriting issues, and regulatory concerns
• Provide underwriting solutions to agents, sales team, and title examiners in accordance with Westcor company guidelines as well as local, state and federal law
• Handle residential as well as commercial transactions underwriting
• Present training seminars to educate title agents and production staff (both online and in person)
• Provide outstanding customer service while making sound underwriting decisions
• Analyze and respond to indemnity requests
• Call on existing Westcor agents and help increase wallet share. Identify new business opportunities through prospecting
• Travel with sales staff, managers or other underwriters for agent visits throughout the states

Underwriting Counsel

• Assist with the review, negotiation, and administration of federal government contracts, subcontracts, teaming agreements, and task orders governed by the FAR, agency-specific supplements (including GSA, VA, HHS/CMS), and applicable SBA regulations
• Support compliance monitoring efforts and internal audits to ensure adherence to contract terms, applicable regulations, and agency-specific requirements
• Conduct legal research on procurement regulations, government contracting issues, and evolving agency guidance; prepare concise memoranda and recommendations for senior counsel
• Assist with reviews, terms and conditions analysis, and pre-award due diligence
• Provide day-to-day employment law support, including review of employment agreements, offer letters, separation agreements, and HR policies
• Assist in the investigation and resolution of employee relations matters, including EEOC charges, and internal complaint processes

Associate Counsel

• First-chair all inbound vendor agreements: negotiate, redline, and close contracts with technology vendors, service providers, data processors, and other third parties across the full range of agreement types (SaaS, DPAs, NDAs, professional services, licensing).
• First-chair all outbound customer and sales contracts: own the contracting process for Givebutter's revenue-generating agreements, including enterprise customer terms and service agreements.
• Build the contracting infrastructure: develop and maintain templates, playbooks, fallback positions, and self-serve tools that enable operations and sales teams to move faster with less legal bottleneck.
• Implement and optimize AI-powered legal workflows: use AI tools, AI agents, and agentic workflows for contract review, clause analysis, and negotiation support; continuously iterate on the legal ops tech stack to maximize throughput without sacrificing quality.
• Manage contract lifecycle: own the process from intake through execution, including tracking obligations, renewal dates, and key terms across the portfolio.
• Second-chair partnership agreements: support the General Counsel on strategic partnerships, including payment processor relationships, platform integrations, and channel partnerships.
• Draft and negotiate ancillary partnership documents: handle the supporting agreements, amendments, and operational terms that flow from partnership relationships.
• Serve as day-to-day legal advisor to the product team: help drive our Product Roadmap by affirmatively suggesting opportunities for expansion and advise Product, Design & Engineering (PDE) on compliance-by-design for new features, payment flows, and data practices.
• Support the General Counsel and Security & Compliance Manager on compliance matters: assist with regulatory filings, licensing questions, privacy compliance, and consumer protection issues as they arise.
• Advise on marketing and commercial claims: review marketing materials, competitive positioning, and customer-facing disclosures for legal risk.

• Provide advice and support on a variety of legal issues relating to Practice operations and transactions.
• Develop and maintain client relationships with local-practice and business-team partners that help you identify legal risks and issues rising in day-to-day operations, contractual matters, and business transactions and collaboratively develop solutions.
• Counsel practice leadership regarding proposed arrangements and complex legal matters.
• Draft and negotiate a wide range of contracts and legal documents.
• Negotiate business deals and legal disputes.
• Help build and refine processes and systems to support the delivery of exceptional legal services across a nationwide organization.

AVP, Assistant General Counsel

• Provide legal support and guidance on counseling including artificial intelligence (AI), litigation, and e-Discovery

• Collaborate across AI product developers, engineers, data scientists, multiple business and legal teams

• Collaborate with HUB's National Employee Benefits Senior Counsel and regional compliance practices on client-facing compliance initiatives and thought leadership content.
• Create compliance tools, checklists, and educational resources to support account teams and clients.
• Draft compliance bulletins and legal updates on legislation, regulations, and judicial developments affecting employee benefit plans.
• Maintain and grow compliance resource libraries and tracking systems for use by legal, compliance, and business teams.

• Draft, review, and negotiate commercial and healthcare-related agreements, including vendor/MSA/SOWs, SaaS/IT and data-related contracts, BAAs, leases, professional services, employment/contractor agreements, and select payer-related arrangements as needed.
• Partner with operations/IT/finance to improve contracting workflows, vendor terms, renewal tracking, and risk controls (templates, playbooks, clause libraries).
• Advise on compliance and operational best practices impacting primary care operations across GA/AL/TN/SC.
• Identify issues early, propose options, and help leadership make informed, practical decisions; maintain a clear view of risk tolerance and priorities.
• Help maintain corporate policies, required postings/acknowledgements, training support, and documentation practices; assist with entity management and corporate housekeeping as needed.
• Triage pre-litigation matters and manage outside counsel for specialized/regulatory or litigation issues, with a focus on cost-effective outcomes.
