General Counsel

• Own negotiation and execution of commercial SaaS agreements — including MSAs, subscription agreements, DPAs, and NDAs — while enabling the business to move quickly within defined guardrails.
• Enforce company positions on non-standard terms and manage escalation paths, improving time-to-signature without increasing legal or commercial risk.
• Train and enable Sales to handle routine negotiations independently, reducing legal bottlenecks at scale.
• Lead the end-to-end contracting function for all customer and vendor agreements, building a scalable, AI-enabled operation that reduces manual work and accelerates deal cycles.
• Implement and manage a Contract Lifecycle Management (CLM) system, including templates, negotiation playbooks, approval workflows, and delegation of authority controls.
• Leverage AI-driven legal tools for contract review, risk flagging, and workflow automation — actively identifying opportunities to reduce outside counsel reliance over time.
• Own vendor contracting and procurement legal processes, maintaining a contract repository with proactive tracking of key terms and obligations.
• Lead legal aspects of data privacy — including DPA negotiation and regulatory alignment with GDPR, CCPA, and related frameworks — and monitor evolving requirements across Canto's operating and customer geographies.
• Partner with Security, Product, and Executive Leadership on emerging legal and regulatory requirements related to AI, data governance, automated decision-making, IP, and responsible AI practices.
• Serve as the primary legal advisor across commercial and operational matters, managing outside counsel relationships across the US and Europe with a focus on cost efficiency and minimizing routine escalations.
• Handle disputes and pre-litigation matters with a pragmatic, resolution-oriented approach, and advise on Canto's corporate entity compliance program.
• Partner with Security during privacy and security events, coordinating on notification obligations, contractual commitments, regulatory requirements, and privilege preservation.

Commercial Counsel

• Serve as counsel for our Government Price Reporting function concerning legal, regulatory, and compliance issues associated with federal government price reporting requirements
• Serve as counsel for our U.S. Market Access and Pricing functions advising on price reporting, Anti-Kickback Statute and False Claims Act matters
• Provide strategic legal counsel to senior management on product pricing and access matters
• Advise on federal and state Medicaid programs
• Provide legal advice and assistance for the development of policies and training, and conduct training
• Resolve routine legal matters with direct supervision as needed from more experienced attorneys, and assist more experienced attorneys in resolving complex legal issues on cross-functional projects

Senior Counsel, Global Commercial Legal – U.S. Market Access and Pricing

• Own multi-state regulatory compliance obligations for HopSkipDrive as a transportation network company operating in the education sector, including TNC licensing, driver qualification standards, DMV record check requirements, and state-specific transportation regulations.
• Draft and submit regulatory filings, advice letters, and compliance attestations to state agencies; track and manage agency review, approval, and disposition.
• Advise on revenue contract and RFP provisions with regulatory implications, including background check requirements, reporting obligations, and driver and vehicle standards.
• Advise internal stakeholders on regulatory requirements for new market entry and ongoing compliance obligations in existing markets.
• Build AI projects and workflows related to regulatory matters.
• Monitor and analyze federal and state legislation affecting HopSkipDrive’s operations, with a focus on transportation network companies, school pupil transportation, and automated decision systems.
• Develop legal and policy positions on pending legislation; collaborate with the Policy and Government Relations teams to prepare bill analyses, public comments, and engagement strategies.
• Assist with bill review and bill drafting in partnership with the Policy team.
• Identify legislative trends and develop proactive compliance strategies, particularly around TNC regulation, school transportation, and gig economy classification.

• Handle subpoenas, service of process, and regulatory investigations, coordinating with outside counsel as appropriate.

• AI and Process Innovation: Leverage AI-enabled legal tools, contract lifecycle management systems, and standardized workflows to improve productivity, consistency, and scalability of legal support.
• Cross-Functional Collaboration: Partner closely with Sales, Finance, Deal Desk, Procurement, and Executive leadership to align contract terms with strategic priorities.
• Stakeholder Support and Enablement: Provide timely, clear, and actionable legal guidance to the Sales and Customer Success teams during deal cycles.
• Regulatory and Privacy Expertise: Stay up to date on legal trends affecting the SaaS industry, including data privacy laws like GDPR and CCPA.
• Risk Management: Assess legal and operational risk associated with contract terms and provide business-oriented recommendations that support efficient decision-making.

• Independently review, draft, and negotiate a high volume of complex commercial agreements, including: SaaS (outbound and inbound), Data-as-a-Service (DaaS), Enterprise and strategic customer agreements, Cloud, reseller, and partnership agreements, Vendor and professional services agreements, Marketing and advertising agreements
• Partner closely with Sales and Revenue leadership to structure deals that align with company's risk tolerance and strategic priorities
• Advise internal stakeholders on legal, financial, and operational risk in commercial transactions and clearly communicate trade-offs
• Support RFPs and customer due diligence processes, including negotiation of security and compliance terms
• Provide guidance on privacy and data protection laws (e.g., GDPR, CCPA/CPRA and evolving U.S. state privacy laws) as they relate to product features, customer agreements, and marketing initiatives
• Partner with Security and Product teams to support customer responses to data protection and information security questionnaires
