• collaborate across Fidelity to facilitate the offering of products and services to retail and institutional brokerage customers
• support business development efforts, including contracting, and managing the ongoing review of regulatory changes affecting broker-dealers

Senior Legal Counsel – Fixed Income

• Contract Drafting, Review and Negotiations: Review, draft, negotiate, and revise a high volume of commercial agreements, including SaaS subscription agreements, MSAs, DPAs, NDAs, procurement agreements, and vendor contracts.
• AI and Process Innovation: Leverage AI-enabled legal tools, contract lifecycle management systems, and standardized workflows to improve productivity, consistency, and scalability of legal support.
• Cross-Functional Collaboration: Partner closely with Sales, Finance, Deal Desk, Procurement, and Executive leadership to align contract terms with strategic priorities.
• Stakeholder Support and Enablement: Provide timely, clear, and actionable legal guidance to the Sales and Customer Success teams during deal cycles.
• Regulatory and Privacy Expertise: Stay up to date on legal trends affecting the SaaS industry, including data privacy laws like GDPR and CCPA.
• Risk Management: Assess legal and operational risk associated with contract terms and provide business-oriented recommendations that support efficient decision-making.

Commercial Counsel

• Draft, redline, and negotiate a high volume of complex prime contracts, subcontracts, teaming agreements, master term agreements, vendor agreements, and commercial standard terms (including data center terms, End User License Agreements, and professional service Statements of Work) within government frameworks.
• Interpret government contract clauses—specifically regarding Federal Acquisition Regulation (FAR)-based commercial services contracting—and ensure all proposals and contracts strictly comply with relevant FAR, Defense Federal Acquisition Regulation Supplement (DFARS), General Services Administration (GSA), agency-specific clauses, and diverse U.S. SLED procurement requirements.
• Support the review and analysis of U.S. federal government, U.S. SLED, and related commercial Request for Proposal/Information/Quotation (RFx) documents to identify legal, financial, and operational risks, providing strategic redlines and risk-mitigation counsel to internal proposal and business teams.
• Partner closely with internal stakeholders, legal department colleagues, and the Contracts Management team to bid, win, and manage complex contracts for system integrators, channel partners, and public sector customers, while assisting with commercial requests that have public sector touchpoints.
• Advise upper-level management and business units on post-award contract matters, including contract modifications, performance rights, and compliance obligations.

Senior Corporate Counsel, U.S. Public Sector

• Dedication to being part of a high-performing team, providing exceptional legal services, and helping Archimedes continue to grow and develop.
• Provide analysis and counsel to Archimedes on legal issues related to contracts, statutes and regulations, products, employment law, intellectual property, financial offerings, financial structuring, real estate transactions, and strategic planning.
• Work collaboratively with Lumicera and Navitus teams to ensure compliance with relevant law, ethical business practices, and Navitus’ mission and values.
• Ensure the effectiveness and efficiency of the Archimedes Legal Team in meeting organizational needs.
• Draft, review, and negotiate contracts on behalf of Archimedes; maintain and proactively update contract templates in compliance with changing business needs and legal requirements; write and administer complex vendor, client, and employment contracts.
• Manage processes related to licensing and regulatory requirements for Archimedes.
• Inform the development of new Archimedes initiatives from a legal perspective and provide guidance on legal issues that help shape the organization’s direction and impact as a whole related to contracts and IT systems.
• Update, review and approve policies and procedures related to Archimedes legal needs.
• Research and analyze statutes, judicial decisions, legal articles, contracts, and legal codes as needed.
• Maintain a working knowledge of applicable state, federal, and local laws and regulations and relevant policies and procedures to ensure actions are consistent with Archimedes’ mission and values as well as organizational and professional ethical requirements.
