• Support licensing and specialty licensing compliance efforts across multiple jurisdictions
• Assist with real estate transactions, leases, property related agreements, and due diligence matters

• Partner with operations and executive leadership to identify, evaluate, and mitigate legal and operational risk

• Contract Drafting, Review and Negotiations: Review, draft, negotiate, and revise a high volume of commercial agreements, including SaaS subscription agreements, MSAs, DPAs, NDAs, procurement agreements, and vendor contracts.
• AI and Process Innovation: Leverage AI-enabled legal tools, contract lifecycle management systems, and standardized workflows to improve productivity, consistency, and scalability of legal support.
• Cross-Functional Collaboration: Partner closely with Sales, Finance, Deal Desk, Procurement, and Executive leadership to align contract terms with strategic priorities.
• Stakeholder Support and Enablement: Provide timely, clear, and actionable legal guidance to the Sales and Customer Success teams during deal cycles.
• Regulatory and Privacy Expertise: Stay up to date on legal trends affecting the SaaS industry, including data privacy laws like GDPR and CCPA.
• Risk Management: Assess legal and operational risk associated with contract terms and provide business-oriented recommendations that support efficient decision-making.

Commercial Counsel

• Provides trust and estates legal guidance to Trust Lines of Business to assist senior management with investment and management of trusts and estates, ensuring compliance and minimizing legal risk.
• Supports Trust Lines of Business in a range of activities including legal issues, contracts, disputes, complex transactions, due diligence and risk management.
• Reviews and interprets complex trust documents for investment and management of trust and estate matters, to include, for example, accounting related issues, conflicts of interests, fees, investment issues and, in coordination with the legal department, potential breaches of fiduciary duties.
• Oversees and provides support on estate administration matters where Bank serves as executor, agent and/or personal representative.
• Coordinates/participates with in-house/outside counsel on disputes and legal actions and manages ordinary course court actions initiated on behalf of trusts and estates for which the Bank is trustee, executor, agent and/or personal representative.
• Maintains record of threatened and/or actual litigation for Management and Directors Trust Committee.
• Assists in developing training programs and/or materials, as well as providing such training as appropriate or requested.

Trust Legal Counsel

Senior Litigation Counsel

• Assist with the review, negotiation, and administration of federal government contracts, subcontracts, teaming agreements, and task orders governed by the FAR, agency-specific supplements (including GSA, VA, HHS/CMS), and applicable SBA regulations
• Support compliance monitoring efforts and internal audits to ensure adherence to contract terms, applicable regulations, and agency-specific requirements
• Conduct legal research on procurement regulations, government contracting issues, and evolving agency guidance; prepare concise memoranda and recommendations for senior counsel
• Assist with reviews, terms and conditions analysis, and pre-award due diligence
• Provide day-to-day employment law support, including review of employment agreements, offer letters, separation agreements, and HR policies
• Assist in the investigation and resolution of employee relations matters, including EEOC charges, and internal complaint processes
• Support compliance with federal and state employment laws, leave requirements, and other employment regulations applicable to a multi-state workforce

Associate Counsel

• Provide timely advice on proposed and existing laws and regulations impacting insurance and reinsurance business on a global basis.
• Advise on the applicability and scope of data protection and privacy, artificial intelligence, anti-money laundering, sanctions and investment related laws and regulations.
• Work with RGA’s government relations, business, compliance and transactions teams to develop and execute strategy related to achieving compliance, efficiency, and the enhancement of business capabilities.

VP, Regulatory Counsel

• Providing day-to-day legal support to Everise’s U.S. and global operations
• Serving as a legal advisor on U.S. and global employment matters, including hiring, discipline, performance management, terminations, and reductions in force
• Ensure compliance with wage and hour laws, ADA, PWFA, FMLA, and state/local leave laws
• Advising on employee relations matters, including discrimination, retaliation, harassment, and workplace investigations
• Drafting and reviewing employment-related documentation
• Supporting the management of employment and commercial litigation

• Serves as the Privacy Officer for the Company, responsible for overseeing the development, implementation, maintenance, and enforcement of privacy policies and procedures in accordance with state and federal laws and regulations.
• Serves as primary point of contact for privacy-related matters, including regulatory inquiries, customer concerns, and internal escalations.

Director, Privacy Officer – Managing Counsel

• Advise on complex commercial transactions and help ensure compliance with applicable laws, regulations, and company policies
• Lead the drafting and negotiation of complex, high-value commercial agreements, including sales, procurement, licensing, technology, services, and M&A-related contracts
• Provide legal support for priority transactions and complex contracts, including engineering and construction agreements and large capital project workstreams
• Partner with legal teams and cross-functional stakeholders to align strategy, risk posture, and deal execution
