General Counsel

• Contract Drafting, Review and Negotiations: Review, draft, negotiate, and revise a high volume of commercial agreements, including SaaS subscription agreements, MSAs, DPAs, NDAs, procurement agreements, and vendor contracts.
• AI and Process Innovation: Leverage AI-enabled legal tools, contract lifecycle management systems, and standardized workflows to improve productivity, consistency, and scalability of legal support.
• Cross-Functional Collaboration: Partner closely with Sales, Finance, Deal Desk, Procurement, and Executive leadership to align contract terms with strategic priorities.
• Stakeholder Support and Enablement: Provide timely, clear, and actionable legal guidance to the Sales and Customer Success teams during deal cycles.
• Regulatory and Privacy Expertise: Stay up to date on legal trends affecting the SaaS industry, including data privacy laws like GDPR and CCPA.
• Risk Management: Assess legal and operational risk associated with contract terms and provide business-oriented recommendations that support efficient decision-making.

Commercial Counsel

• Dedication to being part of a high-performing team, providing exceptional legal services, and helping Archimedes continue to grow and develop.
• Provide analysis and counsel to Archimedes on legal issues related to contracts, statutes and regulations, products, employment law, intellectual property, financial offerings, financial structuring, real estate transactions, and strategic planning.
• Work collaboratively with Lumicera and Navitus teams to ensure compliance with relevant law, ethical business practices, and Navitus’ mission and values.
• Ensure the effectiveness and efficiency of the Archimedes Legal Team in meeting organizational needs.
• Draft, review, and negotiate contracts on behalf of Archimedes; maintain and proactively update contract templates in compliance with changing business needs and legal requirements; write and administer complex vendor, client, and employment contracts.
• Manage processes related to licensing and regulatory requirements for Archimedes.
• Inform the development of new Archimedes initiatives from a legal perspective and provide guidance on legal issues that help shape the organization’s direction and impact as a whole related to contracts and IT systems.
• Update, review and approve policies and procedures related to Archimedes legal needs.
• Research and analyze statutes, judicial decisions, legal articles, contracts, and legal codes as needed.
• Maintain a working knowledge of applicable state, federal, and local laws and regulations and relevant policies and procedures to ensure actions are consistent with Archimedes’ mission and values as well as organizational and professional ethical requirements.

Assistant General Counsel

• Serve as the primary legal advisor on medical device regulatory requirements, partnering with Regulatory Affairs to support Oura’s FDA submissions and global filings and helping shape the legal and regulatory strategy for regulated product features.
• Partner cross-functionally with Product, Science, Regulatory Affairs, and Engineering teams from the ideation stage to ensure features are built to meet global standards without sacrificing user experience.
• Establish scalable product development governance frameworks that integrate regulatory, privacy, clinical, and product requirements throughout the product lifecycle.
• Provide comprehensive legal support for pre-market requirements, including the review of user-facing terms, disclosures, and consent mechanisms to ensure global alignment.
• Advise on legal and regulatory considerations for AI-enabled and algorithm-driven health features, including issues related to model transparency, validation, performance monitoring, and emerging regulatory frameworks governing machine learning.
• Provide legal guidance on clinical validation strategies, including the design and oversight of clinical studies, institutional review requirements, research partnerships, and the use of real-world evidence to support regulatory submissions.
• Review promotional materials, labeling, and marketing claims for compliance with applicable consumer protection laws, advertising standards, and regulatory requirements.
• Provide legal input on post-market requirements, including change controls and interactions with regulatory authorities.
• Support regulatory strategy for entry into new international markets and jurisdictions. Track and brief leadership on evolving FDA, EU MDR, and global regulatory developments on the regulation of wearables and AI-enabled technology to future-proof Oura’s long-term product roadmap.
• Coordinate with external counsel and specialized consultants on complex regulatory filings or specialized product legal matters as needed.
