About the role
- Manage the company’s corporate governance and compliance with private and public company reporting obligations. Track the evolving legal landscape in state and federal government, and provide practical guidance for ongoing compliance. Develop, evolve and oversee policies and frameworks that enable compliance throughout the company.
- Work closely with the company’s Executive Team and Board of Directors, including preparation of materials and legal advice for committee and other meetings. Maintain books and records, and coordinate with transfer agents and other third parties.
- Draft and review proxy statements and annual reports. Manage shareholder communications and prepare materials for meetings.
- Provide internal training and build policies around insider trading, corporate disclosures and other SEC rules, effectively translating legal advice into meaningful guidance for innovative business teams.
- Partner with clinical and product teams on regulatory aspects of digital health platform development and operations, advising on corporate practice of medicine, fraud and abuse, and other regulatory schemes.
- Support stock-based compensation programs and equity matters. Advising finance and People teams on all aspects of equity administration.
Requirements
- Licensed attorney in at least one U.S. state, with 5+ years privacy experience
- Varied legal experience, including law firm, startup and public company roles in the healthcare industry
- Articulate problem solver with expert knowledge of corporate security and public company reporting requirements as well as knowledge of healthcare regulations, including corporate practice of medicine, telemedicine, fraud and abuse rules.
- Extremely practical, business oriented approach to practicing law within a company setting
- Exceptional written and verbal communication skills, including the ability to communicate to all organizational levels
- Excellent project management, drafting (clear and streamlined), negotiation and interpersonal skills
- Positive attitude with ownership and accountability mentality
