About the role
- Reporting to Senior Counsel, the Corporate Counsel will be an integral part of the Company’s legal team and will work closely with members of the legal, sales and operational teams.
- Work with project teams and lead the review, analysis, editing, negotiations, and finalization of a variety of legal documents, including master service agreements (MSAs), engineering and consulting contracts, field services contracts, subcontracts, non-disclosure agreements, requests for proposals and purchase order terms and conditions.
- Support the business and Assistant General Counsel with state registrations, company licenses, and other Company filings, as needed.
- Drive meaningful improvements in how the company efficiently negotiates and manages risk and liability in its United States commercial contracts and operations and work closely with internal stakeholders to develop and implement improvements to contracting processes and tools.
- Provide other day-to-day operational support for the business.
- Negotiating, interpreting, and drafting commercial contracts terms and conditions, specifically engineering and consulting contracts and MSAs, requests for proposals and other legal documents
- Reviewing, analyzing, and editing client contract terms and conditions, preparing exceptions and providing explanations and recommendations to operational leadership
- Identifying potential environmental and other contractual and operational liabilities and development of risk mitigation strategies
- Drafting contract summaries and amendments to align with business strategies
- Coordinating the review of client-specific contract requirements with the appropriate internal teams for compliance and risk management, including but not limited to contract insurance requirements with the Company’s risk management team and advisors, health and safety requirements with the Corporate Health & Safety team, and cybersecurity requirements with the Company’s cybersecurity and IT teams, as appropriate
- Providing contract support and advising project managers on contract issues/change management as needed during project execution with emphasis on risk management
- Assisting with compliance and corporate governance matters (i.e. managing state licensing and filing requirements for such licenses)
- Researching and analyzing the law on complex issues and writing concise, practical summaries for legal and operational leadership
- Willingness and ability to operate independently of junior staff
- Excellent interpersonal skills and the ability to communicate, verbally and through written means, and interact with others effectively.
Requirements
- J.D. and admission to state bar
- Strong academic credentials
- 7+ years of relevant experience, including experience (1) drafting, reviewing and negotiating complex contracts in the professional services and engineering and environmental services fields, (2) research and writing and governance/licensing matters, and (3) developing and advising on risk management strategies
- Knowledge of laws, rules and regulations relevant to environmental remediation and field projects strongly preferred
- Experience dealing with commercial and public (federal, state and local municipalities) contracting and projects
- Federal contracting experience strongly preferred
- Abilities: Sound and practical business judgment as well as common sense
- Comfort in identifying, prioritizing, and solving problems
- Strong writing and presentation skills and attention to detail, organizational skills, and a commitment to quality
- Ability to prioritize tasks, think clearly under pressure, meet tight deadlines, and thrive with minimal supervision in a fast-paced, growing company
