About the role

  • Lead and manage all aspects of Teradyne's M&A and corporate transactional activity, including mergers, acquisitions, joint ventures, and strategic investments.
  • Provide expert legal counsel to senior management on complex M&A transactions, including cross-border deals and venture investments.
  • Lead due diligence teams, reviewing and analyzing complex legal and financial matters.
  • Draft, negotiate, and review a variety of M&A and corporate agreements, including purchase agreements, investment agreements, and related documents.
  • Collaborate with external counsel, business teams, and cross-functional departments (finance, tax, HR, etc.) to ensure smooth and efficient execution of transactions.
  • Advise on regulatory and compliance issues related to M&A activity, including antitrust, securities law, and international regulations.
  • Support post-closing integration activities to ensure seamless execution and value realization.
  • Support general corporate governance other legal matters as needed.

Requirements

  • JD from an accredited law school, with excellent academic credentials.
  • Licensed attorney in good standing in the Commonwealth of Massachusetts.
  • Minimum of 4 years of experience in M&A and corporate transactional law, with a focus on large, complex transactions and cross-border deals.
  • Proven experience leading M&A transactions from start to finish, including managing due diligence, drafting and negotiating deal documents, and working with cross-functional teams.
  • Expertise in both US and international M&A regulations, including experience with foreign investment laws and cross-border compliance.
  • Strong communication skills, with the ability to effectively advise and collaborate with senior executives and business leaders.
  • Detail-oriented with a pragmatic approach to legal problem-solving.
  • High degree of professionalism, integrity, and the ability to work in a fast-paced, global environment.
